How a Hong Kong limited is taxed
Hong Kong applies territorial taxation: profits tax covers profits arising from activity carried out in Hong Kong. The rate is two tiered, at 8.25 percent on the first HKD 2 million of assessable profits and 16.5 percent above. Hong Kong levies no withholding tax on dividends paid to shareholders and has no value added tax.
What an offshore claim really means
An offshore claim is the position that profits arose outside Hong Kong and are therefore outside the scope of profits tax. What matters is where the profit generating activities actually took place: negotiation, conclusion of contracts and delivery of the service. The Inland Revenue Department tests this against contracts, correspondence, travel records and payment flows, and the position is reviewed repeatedly rather than granted once.
Who the structure is relevant for
Typical use cases involve entrepreneurs with Asian clients or suppliers, trading businesses, and holding or IP functions inside a larger structure. It becomes genuinely useful when the shareholder is resident in a territorial or low tax country. For someone with unlimited tax liability in Germany, Austria or Switzerland, a Hong Kong limited usually creates a problem rather than solving one.
Accounting, audit and ongoing duties
Every Hong Kong limited must keep books and produce financial statements audited by a locally licensed CPA, filed together with the profits tax return. On top of that come annual renewal of the business registration, the annual return with the Companies Registry and a maintained significant controllers register. These duties apply even at low activity levels and create recurring cost.
Where it becomes a tax problem
If the company is effectively managed from the director's country of residence, it can be treated as resident or as a permanent establishment there and taxed accordingly. Controlled foreign company rules can additionally attribute low taxed passive income back to the owner. The company does not dissolve personal tax liability, it follows it.
Common mistakes in practice
The most frequent mistake is treating the offshore claim as a permanent status rather than an annually defensible position. Equally common is underestimating substance: without documented decision making, contracts and records, the argument collapses at the first review. Audit costs and banking hurdles are also routinely underestimated, since banks reject entities with no real link to the region.
How it compares to a US LLC, Singapore and the UAE
A US LLC is tax transparent and easier to maintain, but offers no shielding effect and no treaty protection. Singapore carries stronger reputation and a comparable territorial logic, but demands more substance and higher running costs. The UAE has levied corporate tax on business profits since 2023 and is mainly attractive when residency moves there as well.
Next steps
Before incorporating, clarify where you are tax resident, where your clients sit and where decisions are genuinely made. Only then can you judge whether Hong Kong is the right layer or whether another structure carries better. The binding tax assessment is made case by case by licensed advisers in the countries involved.
